一、暂停上市
1、暂停上市是什么
暂停上市是指已经上市的公司出现法律规定的特殊原因，被要求暂时停止其发行的上市股票或公司债券交易的制度。
2、什么情况下证券交易所要求上市公司暂停上市
（1）公司不按照规定公开其财务状况，或者其财务报告有虚假记录
（2）公司的股本总额、股权分布等发生变化不再具备上市资格
（3）公司有连续3年亏损
（4）公司有重大违法行为
（5）证券交易所上市规则中的其他情况
二、终止上市
1、什么是终止上市
终止上市是指证券交易所彻底取消上市公司的上市资格，或者取消上市证券挂牌交易资格的制度。
2、什么情况下证券交易所要求上市公司终止上市
（1）公司不按照规定公开其财务状况，或者其财务报告有虚假记录，并拒绝改正
（2）公司的股本总额、股权分布等发生变化不再具备上市资格，在证券交易所规定的限期内依然不能达到上市条件
（3）公司有连续3年亏损，并在一个年度内未能恢复盈利
（4）公司有解散或者被宣告破产
（5）证券交易所上市规则中的其他情况
三、暂停上市与终止上市的区别
（1）暂停上市只是暂时停止上市股票和公司债券的交易；而终止上市是公司失去上市资格，股票退市。
（2）公司连续三年亏损被要求暂停上市，若第二年还未扭亏为盈则被要求终止上市。
（3）当上市公司性质改变时，一般被要求终止上市。如上市公司被股东宣告解散、被法院宣告破产或被收购、合并等情况。
（4）若上市公司出现暂停上市后，未提出恢复上市以及上市申请未被受理或未获同意，则终止上市。
（5）被要求终止上市的公司要恢复上市的难度比暂停上市的难，所需要的时间也更长。
