加拿大黄金公司收购竞争对手公司

全球市值最大的金矿商加拿大黄金公司(Goldcorp Inc.)(NYSE:GG)1月13日向规模较小的竞争对手奥西斯科矿业公司(Osisko Mining Corporation)(TSX:OSK)发出敌意收购,计划以总计26亿加元(约合24亿美元)的现金与股票价格收购该公司。此项要约对Osisko的估值为每股5.95加元,较该公司10日收盘价溢价15%,该公司股价13日大涨20%来到每股6.24加元,暗示投资人预期Goldcorp可能加码收购。Goldcorp周一股价则是下跌1%。
Osisko的主要资产也是唯一已经开始生产的金矿是位于魁北克省的马拉蒂克(Malartic)金矿,该矿在16年的开采年限中预计可年产50-60万盎司黄金,Goldcorp若能成功收购将会成为最大的黄金生产商。Osisko周一声明称尚未收到Goldcorp的正式提议,在收到正式提议以及公司审核完成以前不会发表评论。分析师则认为以Goldcorp在业界的规模以及地位,Osisko很难对抗此敌意收购或者是找到更好的买主。Goldcorp上周(1月9日)在年度产量报告中指出,2013年黄金年产量共计267万盎司,较上年度增长11%,预计2014年黄金年产量将增长13-18%,至300-350万盎司之间。Goldcorp表示,预计未来两年(2014/15年)黄金产量整体将增加50%,而总维持成本将削减15-20%。预计2014年总维持成本将下降至950-1000美元/盎司,较2013年的1065美元/盎司进一步削减。
Goldcorp执行长Chuck Jeannes表示,尽管2013年夏季由于遭遇洪水一度暂停生产,但公司旗下所有的矿山几乎都无一例外的超额完成2013年的年产量目标。更重要的是,公司在面临国际现货黄金大跌的困境下成功的削减了成本,提高了生产效率,并保证了整个资金流的完整。
